The candidate will assist in the representation of asset managers and other institutional investors in connection with a variety of transactions, including fund recapitalizations and another secondary transaction process, joint ventures, co-investments, and primary investments in private funds. Associates are also involved in advising hedge funds and other private funds and their sponsors on fund formation and legal and risk management solutions. Should have 3-6 years of legal experience working on transactions related to private investment funds or other corporate transactional work. Must have proven exposure to the drafting and negotiating of investment documents and fund governing documents on behalf of large institutional investors. Should have strong critical thinking and interpersonal skills and have the proven ability to work independently at times or, with a team of attorneys to work on solutions for clients. Should also be experienced in effectively communicating verbally and in writing and are able to adapt when time-sensitive situations arise. J.D. degree from an ABA-accredited law school and admissions to the bar, in good standing, in the state where we have a Ropes & Gray office and the candidate intends to practice, is required. Being able to quickly obtain admission either on motion or reciprocity to the state for the office they are applying to, will be considered.
