General Counsel
The candidate will review and approve the legal sufficiency of contractual activities. Draft and negotiate contracts. Develop and recommend company policy and position on legal issues. Provide training on the policies as needed for the agency. Develop and recommend operating policies and procedural improvements. Counsel executive, senior leadership and the Board as need on various legal matters, and existing and new laws. Provide analysis and counsel on legal and policy issues related to compliance, contractual and nondisclosure agreements, and strategic planning. Provide legal counsel on issues arising from actual or anticipated lawsuits. Anticipate and guard against legal risks facing the company. Prepare legal pleadings, motions, discovery, stipulations, etc. Represent **MEMBERS ONLY**SIGN UP NOW***. or its officials in various legal proceedings. Write, review, and edit reports, opinions, correspondence, articles, and other documents. Write and administer complex vendor, client, and employment contracts. Conduct and coordinate research into a variety of legal issues. Act as the firm's Lobbyist Compliance Officer responsible for lobbyist filings, serving as the point of contact for employees to report any contacts with governmental officials, and assessing whether contact constituted lobbying and what registration and reporting requirements maybe triggered. The Officer will provide brief presentations on the topic at new employee orientations and agency staff meetings, conduct semi-annual training for anyone in regular contact with governmental officials, and send agency-wide emails every quarter regarding any updates. Lead entity formation function, including preparing certificates of formation, basic LLC operating agreements, and state registration documents, and coordinate filings of same with registered agent. Retain all corporate recordss. Oversee contract administration process across the agency. File state and local corporate compliance filings. Manage legal expenses to the FY23 budget. Knowledge and experience with legal principles applicable to healthcare, including administrative la. Knowledge and experience in negotiating and drafting contract. Experience using DocuSign preferred. Ability to promptly produce high-quality, accurate, and detailed work product. Ability to work in a capacity with strict privacy and confidentiality requirement. Excellent client management and problem-solving skill. Exceptional analytical, written, and oral communication skills. Ability to work effectively as a part of a multidisciplinary team. Ability to work under pressure and willingness to travel throughout Cook County. Good interpersonal and communication skills. Proficiency with Outlook and willingness to learn new technologies and systems as needed. Well organized and efficient; able to prioritize, multi-task and meet deadlines promptl. Proficiency with Microsoft Office software (Excel, Word, PowerPoint) efficiently. Graduation from an accredited School of Law with a Juris Doctorate (JD) degree. A current and active license (in good standing) to practice law in the State of Illinois. Five (5) years’ experience in giving legal counsel and representation to comparable entities. Experience working with health laws and regulations and employment matters. Experience working with real estate law.
