A top-tier law firm is currently seeking a Technology Transactions Associate to join its Corporate Services Group. This lateral opportunity is ideal for attorneys with experience in commercial technology contracts, licensing agreements, SaaS arrangements, and data privacy matters. The role involves working closely with experienced attorneys on a wide variety of technology-related transactions and advisory matters, including support for M&A deals and guidance on intellectual property issues. Draft, review, and negotiate commercial technology agreements, including SaaS and licensing contracts
Advise clients on intellectual property issues and data privacy laws
Support corporate transactions, including due diligence and contract review in M&A matters
Manage multiple legal matters across various stages from initiation to completion
Ensure high levels of responsiveness and quality in client service
Utilize support staff and junior associates effectively in delivering work
Produce high-quality, billable legal work aligned with firm expectations
Maintain the highest standards of legal ethics and professionalism
Contribute to team goals and collaborate within a supportive environment
Minimum of 2 years’ experience in technology transactions or related corporate law practice
Familiarity with technology contract review, licensing, SaaS models, and data privacy compliance
Strong drafting, negotiation, and analytical skills
Ability to work independently while effectively managing priorities and deadlines
Prior experience in a law firm setting is preferred
Juris Doctor (JD) from an accredited law school
Active license to practice law in at least one U.S. jurisdiction where the firm operates
Compliance with CLE and professional licensing requirements
Exceptional written and verbal communication skills
Detail-oriented with a strong understanding of corporate and technology law
Ability to work autonomously and collaboratively in a team environment
Strong interpersonal skills for client and colleague interaction

Demonstrates initiative in identifying client needs and business opportunities
