Real Estate/Construction Attorney
Duties: Provide legal support for the University and its hospitality industry subsidiaries with regard to a broad range of real estate activities, including real estate development, purchases and sales, leases and other related activities. Will be expected to advise and assist the University’s Vice President for Facilities and Real Estate Services and Penn Medicine in developing legal structures for real estate transactions, including strategies to mitigate legal and financial risks and attending to the business/legal details of such transactions. Negotiate, document, close purchases, leases, loans and other real estate transactions; provide advice to the University’s real estate managers in dealing with day‑to‑day landlord/tenant issues, property management concerns, and the interpretation of leases and other contractual documents; advise clients as to the real estate tax and transfer tax consequences of proposed transactional structures; file and prosecute, as appropriate, real estate tax assessment and tax exemption applications and appeals. Advise clients regarding zoning and building code issues and prepare, file and prosecute zoning and building code appeals; draft and negotiate licenses and other similar agreements regarding the use of University facilities in connection with sporting events, theatrical productions, location agreements for filming at University facilities, food and merchandise vending, musical performances and other activities. Advise the University and Penn Medicine project managers with regard to negotiation and interpretation of contracts relating to the design, construction and maintenance of University and Penn Medicine buildings, work with the University and Penn Medicine real estate staff to draft, negotiate and structure agreements with real estate brokers and other consultants involved in real estate transactions; manage and oversee the work of outside attorneys dealing with real estate and related issues. Familiarity with the following areas of law would be a plus: Pennsylvania corporate law, especially as related to not-for profit corporations; commercial insurance, including general liability, property and professional liability policies and applicability of each in commercial transactions; and energy procurement and regulation of energy providers.
