Duties:

- Draft, review, and negotiate transactional documents, including contracts, financing agreements, and corporate governance documents
- Provide counsel on fund formation, securities compliance, and regulatory issues
- Conduct legal research and offer strategic guidance on corporate and securities matters
- Lead due diligence processes, negotiations, and closings for corporate transactions
- Collaborate with senior attorneys on complex, high-value deals
Requirements:
- 3+ years of experience in corporate law, M&A, fund formation, finance, or securities
- Strong understanding of corporate and securities law and regulations
- Proven experience drafting and negotiating transactional documents
- Excellent written and verbal communication skills
- Strong academic credentials
- Ability to prioritize and manage multiple tasks efficiently
- Admission to practice law
Education:
- Juris Doctor (JD) from an accredited law school
