Winston & Strawn's Dallas office is looking for corporate associate to join the capital markets and securities practice. The ideal candidate will have two to six years of experience at a large law firm working on public and private debt and equity offerings as well as Exchange Act reporting, and advising clients on day-to-day governance matters including SEC and stock exchange compliance, public company disclosure obligations and other business and transactional matters. All candidates must be admitted in Texas.

We have an exceptional broad-based securities practice, representing public and private companies in all types of capital-raising transactions. We have been a particular leader in transactions involving special purpose acquisition companies (SPACs). Since 2019, we have represented issuers, underwriters and investors in over 15 SPAC IPOs raising over $6 billion, and have represented SPACs, target companies and investors in over 10 SPAC business combinations with an aggregate value of over $12 billion. We represent issuers and underwriters in IPOs and follow-on public offerings for operating companies, and we represent public companies in PIPEs, mergers and acquisitions, SEC reporting and corporate governance matters.
