The ideal candidate will possess at least 8 years of relevant experience, including some law firm experience. Duties:

• Advise clients on corporate governance best practices and compliance with relevant laws and regulations.
• Conduct thorough research on securities laws, stock exchange corporate governance standards, and proxy advisory firm policies.
• Draft and review corporate governance documents, including bylaws, governance policies, and codes of conduct.
• Provide strategic counsel on governance-related matters, including board and committee structures and responsibilities.
• Collaborate with internal and external stakeholders to ensure adherence to governance standards.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in the state of New York.
• Minimum of 8 years of experience as a Corporate Governance Lawyer, with some experience in a law firm setting.
• In-depth knowledge of corporate governance best practices, securities laws, and stock exchange corporate governance standards.
• Strong analytical, writing, and research skills.
• Detail-oriented with the ability to manage multiple tasks and deadlines simultaneously.

Education:

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

• Active license to practice law in the state of New York.
