Advise startup and emerging growth companies on corporate governance, fundraising strategies, and day-to-day legal needs.
Structure and lead private offerings, debt, and equity financings involving angel investors, venture capital firms, syndicates, and banks.
Counsel clients on business expansion strategies and sophisticated transaction management across various industries.
Support and expand an existing client base by leveraging a full-service, multi-jurisdictional platform.
Collaborate regularly with attorneys across multiple offices on cross-disciplinary matters.
Engage in public service and pro bono activities as part of the firm's commitment to social responsibility.
Contribute to diversity, equity, and inclusion initiatives that enhance workplace culture and client service delivery.
Minimum of 7 years of hands-on experience representing emerging brands in capital raise transactions, including private offerings and diverse financing methods.
Demonstrated partial portable book of business.
Strong background in traditional corporate governance and counseling.
Additional exposure to public company advisory, capital markets, securities, mergers, and acquisitions is highly desirable.
Proven track record managing multiple transactions independently and in team settings.
Exceptional communication and client-relations skills.
Ability to prioritize, organize, and handle a broad array of matters simultaneously.
Commitment to professional responsiveness and high-quality service delivery.
Juris Doctor (JD) degree from a law school accredited by the American Bar Association (ABA).
Admission to practice law and active good standing in at least one U.S. jurisdiction.
Outstanding analytical, drafting, and negotiation skills.
