Duties

• Lead or contribute to mergers and acquisitions, private equity investments, and capital markets transactions.
• Advise on corporate governance matters and venture capital investment transactions.
• Assist with private offerings of equity and debt securities.
• Provide guidance on Forms 10-K, 10-Q, and 8-K filings and proxy statements.
• Collaborate with teams serving sophisticated, national clients on dynamic transactions.

Requirements

• Active Minnesota attorney license.
• Three to five years of relevant experience in corporate finance.
• Strong writing, analytical, and communication skills.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Licensed to practice law in Minnesota.
