A law firm in Cleveland, OH is seeking an experienced Corporate/Business Attorney with 5+ years of experience in a law firm or in-house legal department. The ideal candidate will handle various corporate and business matters, including drafting contracts, advising on mergers and acquisitions, business entity governance, and commercial transactions. Strong drafting, research, and analytical skills are essential, along with the ability to work independently and manage multiple projects.

Duties:

• Draft and negotiate contracts and advise on related transactions.
• Provide counsel on mergers and acquisitions and business entity governance matters.
• Advise on choice of entity and create and restructure business entities.
• Assist in due diligence efforts and post-deal integration.
• Maintain current knowledge of laws and regulatory developments.
• Structure and draft documents for commercial and finance transactions.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• 5+ years of experience in a law firm or in-house legal department.
• Book of at least $200k.
• Experience or background in business, tax, commercial transactions, lending, finance, or accounting preferred.
• Strong drafting, research, and writing skills.
• Ability to work effectively with teams and independently.
• Licensed or eligible to practice law in the State of Ohio.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Licensed to practice law in the State of Ohio.

Skills:

• Ability to manage and prioritize multiple projects.
• Effective communication and interpersonal skills.
• Ability to work successfully with staff, attorneys at all levels, and firm clients.
