Job Overview:
A nationally respected law firm is seeking a Corporate Securities Attorney to join its Corporate Practice Group. This role is ideal for an attorney with 5 to 12 years of experience handling securities law matters, including SEC and exchange-related filings. The position offers flexibility in work location across multiple U.S. offices, with the opportunity to support clients on regulatory compliance, governance, and capital markets matters in a collaborative and growth-oriented legal environment.

Location:

• San Antonio, TX

Duties:

• Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

• Counsel clients on securities law compliance and public company reporting requirements

• Draft and review SEC filings such as 10-Ks, 10-Qs, 8-Ks, S-1s, proxy statements, and registration statements

• Advise on corporate governance and board matters

• Support capital markets transactions, including public offerings and private placements

• Monitor legal and regulatory developments and advise clients accordingly

• Collaborate with internal legal teams on transactional and compliance-related matters

Requirements:

• 5–12 years of experience in corporate and securities law

• Significant experience with SEC and exchange filings

• Ability to manage multiple matters and deadlines in a fast-paced environment

• Client-focused with a proven track record of delivering practical legal advice

• Must be licensed to practice law in home jurisdiction or eligible for admission without examination

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Active law license in any U.S. state (Required)

• Must meet qualifications for admission in the jurisdiction of employment

Skills:

• Strong legal drafting and analytical capabilities

• Excellent written and verbal communication skills

• Deep understanding of U.S. securities laws and capital markets

• Ability to build relationships with clients and work effectively within teams

• Organized, detail-oriented, and proactive problem-solver
