Job Overview:
A nationally respected law firm is seeking a Corporate Securities Attorney to join its Corporate Practice Group. This role is ideal for an attorney with 5 to 12 years of experience handling securities law matters, including SEC and exchange-related filings. The position offers flexibility in work location across multiple U.S. offices, with the opportunity to support clients on regulatory compliance, governance, and capital markets matters in a collaborative and growth-oriented legal environment.

Duties:
Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group
Counsel clients on securities law compliance and public company reporting requirements
Draft and review SEC filings such as 10-Ks, 10-Qs, 8-Ks, S-1s, proxy statements, and registration statements
Advise on corporate governance and board matters
Support capital markets transactions, including public offerings and private placements
Monitor legal and regulatory developments and advise clients accordingly
Collaborate with internal legal teams on transactional and compliance-related matters
Requirements:
5–12 years of experience in corporate and securities law
Significant experience with SEC and exchange filings
Ability to manage multiple matters and deadlines in a fast-paced environment
Client-focused with a proven track record of delivering practical legal advice
Must be licensed to practice law in home jurisdiction or eligible for admission without examination
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Active law license in any U.S. state (Required)
Must meet qualifications for admission in the jurisdiction of employment
Skills:
Strong legal drafting and analytical capabilities
Excellent written and verbal communication skills
Deep understanding of U.S. securities laws and capital markets
Ability to build relationships with clients and work effectively within teams
