Corporate Paralegal
The candidate will be supporting Business Department lawyers in preparation for, and the closing of, various business transactions including mergers and acquisitions, financings and private fund formations. Researching state corporate filing requirements, drafting and filing documents required to form business entities, including corporations, partnership, limited liability companies and not-for-profit organizations, preparing votes and maintaining corporate and stock records and capitalization tables, reviewing subscription agreements, preparing and filing UCC financing statements and obtaining certificates of good standing. Bachelor’s Degree is required; Paralegal Certificate is a plus. Should preferably have 3+ years of related experience including general corporate and transactional work. Experience using electronic signature solutions, and Shareworks and/or Carta background is preferred. Knowledge and experience with Form D and Blue Sky filings a plus.
