Job Overview

A law firm seeks an associate with 4-6 years of relevant experience to join their Fund Formation and Investment Management Practice Group in Boston, MA. The firm is open to considering candidates in Chicago, Dallas, or New York, with other locations possible based on business needs and candidate experience.

Duties

• Structure and negotiate fund and management agreements.
• Engage in secondary sales of LP fund stakes on both buy- and sell-side.
• Participate in GP-led fund restructurings.
• Draft and manage sophisticated legal matters with multiple team members.
• Collaborate with partners, senior counsel, and clients.

Requirements

• Solid experience in fund formation and investment management.
• Working knowledge of the Investment Advisers Act registration.
• Experience with compliance and the Securities Act related to private investment funds.
• Strong drafting skills and proactive mindset.
• Excellent interpersonal skills and work ethic.

Education

• JD from an ABA accredited law school.

Certifications

• Active member in good standing of the Bar in the jurisdiction(s) of practice.
