A law firm in Atlanta is seeking a Mid-level Capital Markets Associate Attorney to join its team. The ideal candidate will have 3-7 years of experience in securities and capital markets transactions, with a strong background in representing public company issuers. This role requires expertise in drafting and reviewing SEC periodic reports and disclosures, as well as providing guidance on governance matters. Candidates should have experience at a large firm and hold solid academic credentials from a top-tier law school.

Duties:

• Represent public company issuers in capital markets transactions.
• Draft and review SEC periodic reports and other disclosures.
• Consult on corporate governance matters and ensure compliance with regulatory requirements.
• Assist in the preparation and execution of IPOs and other offerings of common stock, preferred stock, or hybrid securities.
• Work on high-yield and investment grade debt offerings.
• Collaborate with clients and internal teams to manage complex securities transactions.
• Conduct legal research and stay updated on relevant securities laws and regulations.
• Provide strategic advice on capital markets and corporate governance issues.

Requirements:

• JD from a top-tier law school.
• 3-7 years of experience in securities and capital markets transactions, including IPOs and debt offerings.
• Experience representing public company issuers.
• Proven ability to draft and review SEC periodic reports and disclosures.
• Strong background in governance matters and regulatory compliance.
• Experience at a large law firm with solid academic credentials.
