Lead Counsel - Base Chemicals and RSTO
The candidate will serve as the principal point of contact in the TEAS legal department for the Base Chemicals and RSTO business units within RPA (Refining & Petrochemicals Americas), including by providing day-to-day legal support on a wide variety of commercial issues and drafting and performing legal review and analysis of commercial contracts for these. Contracts typically include long-term purchase and sale arrangements, as well as logistics, pipeline, real estate, and utility arrangements. Manage and coordinate legal support (with a contractor attorney) for the IND/Procurement team on a variety of procurement contracts for RC branch operations. This includes interactions with TotalEnergies Global Procurement to implement Company procurement standards in procurement contracts for U.S. RC activities. Provide transactional counsel and support to TEPRI and other RC branch affiliates in the U.S. on: (1) complex deals, including proposed or actual acquisitions and divestitures, and (2) major capital and construction projects from inception to operational start-up. Provide transactional counsel and support to TEPRI and other Refining & Chemicals affiliates in the U.S. on joint ventures and jointly-owned assets (including Cos-Mar Company, Bayport Polymers LLC, Southeast Texas Pipelines LLC, and BASF TotalEnergies Petrochemicals LLC). Support includes providing legal advice to TotalEnergies operations and commercial teams, contract drafting and review, risk management, strategic negotiations, contract interpretation and strategy, and pre-claim management. Manage pre-claim matters for Base Chemicals and RSTO units and with regard to joint ventures and jointly-owned assets. Provide high-quality legal support to joint venture, M&A, capital project, and other complex transactional activities of the Refining & Chemicals branch in the U.S. Advise the Company on areas of legal liabilities and risk, and empower internal stakeholders to mitigate, minimize, or eliminate legal liabilities and risk. Provide U.S.-specific legal advice to RC affiliates outside of the U.S., including on U.S. corporate law, antitrust, and regulatory topics relating to complex transactions. This includes formal legal notes, memos, and risk assessment grids to CDRC, CORISK, and COMEX. Manage outside counsel on complex business transactions supported by the team, averaging spend of between $100K and $3MM for transactions valued between $500K and $50MM and between $700K and $10MM for transactions valued between $50MM and $2.5B. Develop or assist in the development of budget recommendations for the Legal Department, and manage the budget for transactions and projects. Provide support to other TotalEnergies business lines as the company emphasizes renewables and other forms of energy.
