A law firm is currently seeking a skilled mid-level Corporate M&A Associate to join its prestigious M&A team. Location:

  • Seattle, WA

Duties:

  • Lead and manage M&A transactions, providing comprehensive legal support throughout the deal lifecycle.
  • Draft and negotiate various transaction documents, including purchase agreements, disclosure schedules, and shareholder agreements.
  • Oversee due diligence efforts, working closely with clients and external parties to ensure accurate and efficient information exchange.
  • Advise clients on M&A-related matters, offering insights into complex legal issues and strategic opportunities.
  • Collaborate with senior attorneys on sophisticated transactions, taking ownership of key aspects of deals.
  • Develop and maintain relationships with clients, ensuring high-quality legal service and fostering business growth.
  • Stay current on market trends, industry developments, and relevant legal updates in M&A law.

Requirements:

  • 3-5 years of experience in M&A law, ideally gained from a reputable corporate law firm.
  • Must be a member in good standing of the state bar where the candidate will be practicing, or eligible to sit/waive into the next bar exam.
  • Demonstrated experience in negotiating, structuring, and executing M&A transactions.
  • Strong communication skills, both oral and written, with the ability to explain complex legal concepts clearly.
  • Strong organizational and project management skills with the ability to handle multiple responsibilities.
  • Proven ability to work effectively both independently and in a team-oriented environment.
  • A passion for M&A law and the ability to provide innovative legal solutions for clients.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Active state bar membership in the jurisdiction where the candidate will be working or eligibility to sit for the next bar exam.

Skills:

  • Expertise in corporate law, particularly M&A transactions.
  • Strong drafting, negotiation, and due diligence skills.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple priorities and meet deadlines in a fast-paced environment.
  • Client-focused with an ability to cultivate and maintain professional relationships.
