Duties:

  • Provide comprehensive tax planning and advisory services in federal, state, and international tax matters.
  • Advise clients on mergers and acquisitions, capital markets transactions, and corporate finance matters.
  • Assist with equity financings, technology transfers, and complex licensing/collaboration agreements.
  • Develop and implement both domestic and international tax planning strategies for clients.
  • Collaborate with colleagues across departments to deliver integrated legal services.
  • Build and maintain strong client relationships through exceptional legal support.
  • Draft and review tax-related documents, agreements, and filings.
  • Manage a caseload efficiently while meeting deadlines in a fast-paced environment.
  • Participate in business development efforts, including client presentations and pitches.

Requirements:

  • 5+ years of experience in tax law, focusing on mergers and acquisitions, capital markets, and corporate finance.
  • In-depth knowledge of federal, state, and international tax law.
  • Prior experience working with clients in technology, life sciences, or growth enterprises is preferred.
  • Strong ability to thrive in a fast-paced, high-pressure work environment.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong analytical skills and attention to detail.
  • Ability to work independently and collaboratively in a team setting.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials required.

Certifications:

  • Active bar membership in a relevant jurisdiction.
  • Additional certifications (e.g., CPA) are a plus but not required.

Skills:

  • Expertise in federal, state, and international tax law.
  • Experience in mergers, acquisitions, capital markets, and corporate finance.
  • Knowledge of technology transfers, licensing arrangements, and tax planning.
  • Strong written and verbal communication skills.
  • Client-focused with the ability to build long-term relationships.
  • Ability to work effectively within a collaborative team.
  • Highly organized and able to manage multiple priorities.
