A nationally recognized law firm is seeking a Corporate Trust Associate to join its Finance & Restructuring practice group. This role involves representing financial institutions and corporate trust clients in a broad range of transactions, including structured finance, municipal and corporate debt, finance facilities, and document custody arrangements. The position offers the opportunity to work on sophisticated transactions in a collaborative and client-driven environment.
Represent financial institutions and corporate trust businesses in a variety of transactional matters
Provide legal counsel on structured finance transactions, including RMBS, CMBS, and ABS
Handle municipal and corporate debt issuances, finance facilities, and document custody matters
Draft, review, and negotiate agreements such as:
Trust indentures
Loan agreements
Account control agreements
Custodial and agency agreements
Pooling and servicing agreements
Disbursement and master services agreements
Non-disclosure and related transactional documents
Manage multiple transactions concurrently while maintaining responsiveness to client needs
Collaborate closely with internal teams and clients to ensure timely deal execution
2–4 years of transactional legal experience, preferably in a finance or restructuring practice
Prior experience representing financial institutions or advising on trust-related agreements
Familiarity with structured finance and related regulatory or compliance frameworks
Proven ability to manage complex transactions with multiple stakeholders
Excellent analytical, drafting, and communication skills
Juris Doctor (J.D.) from an accredited U.S. law school
Strong academic credentials preferred
Admission to the bar in the relevant U.S. jurisdiction, or eligibility for prompt admission
Proficiency in contract drafting and negotiation
High level of professionalism and client service orientation
Strong organizational skills and ability to manage time effectively across matters
Team-oriented with the ability to work independently
Detail-oriented and capable of handling high-stakes transactional work
