Associate Counsel

The candidate will help drive strategic and tactical legal initiatives and provide in-house legal services. Will have the opportunity to get involved with complex business transactions, crafting and negotiating critical contracts. Will also interpret laws, rulings and regulations to advise on legal matters across a range of subject matter areas. Assist the General Counsel in a variety of areas, including: Reviewing, drafting and advising on a range of commercial agreements such as master services agreements, amendments to existing customer agreements, non-disclosure agreements, RFP’s, government contracts, teaming agreements, and vendor agreements. Creating, reviewing, managing, and maintaining the company’s corporate contract templates. Providing guidance on legal issues and risk mitigation strategies relating to corporate contracts. Assisting in administration of contract management system. Collaborating with various internal groups to understand and ensure consistency within the company’s risk management objectives. Conducting research and provide legal advice regarding specific legal and/or regulatory issues. Participating in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters. Staying apprised of emerging regulatory issues and legislative developments. Must have J.D. from an ABA accredited Law School. A license to practice law in at least one state, North Carolina preferred. Should have 1-5 years of legal experience, 0-4 years of experience as a practicing attorney. Should have familiarity and experience with transactional matters, contract negotiations, and contract law. Exposure to and understanding of any of the following subject matter areas would be a plus: intellectual property, data security and data privacy, corporate governance, employment, insurance, product liability, and mergers & acquisitions.
