Job Overview:
A highly regarded national law firm is seeking a Corporate Securities Attorney with 5–12 years of experience to join its Corporate Business Unit. This role focuses on securities regulatory compliance and corporate governance, offering flexible placement across multiple U.S. office locations. The position provides an opportunity to work with a collaborative, client-focused legal team within a dynamic, growth-oriented environment.

Duties:
Prepare and file documents with the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group.
Advise corporate clients on securities compliance, disclosure obligations, and reporting requirements.
Draft, review, and edit disclosure documents, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
Support clients with public offerings, private placements, and related securities transactions.
Collaborate with internal corporate teams to manage client matters effectively.
Stay current on securities law updates and provide proactive counsel on regulatory developments.
Requirements:
5–12 years of experience in corporate securities law.
Strong attention to detail and a commitment to high-quality legal service.
Excellent interpersonal skills and ability to communicate complex information clearly.
Capable of managing multiple client projects with varying deadlines.
Licensed to practice law in the current state of residence or eligible for admission without examination.
Education:
Juris Doctor (JD) from an accredited law school.
Certifications:
Active license to practice law in a U.S. jurisdiction or eligibility for admission without examination.
Skills:
Proficient in preparing regulatory filings and disclosure documents.
Strong research, writing, and analytical abilities.
Ability to advise on corporate governance matters and securities offerings.
Skilled at building and maintaining client relationships.
Comfortable working collaboratively within cross-office legal teams.
