Job Title: Mid-Level Technology Transactions Associate Attorney

Job Overview:
A prominent law firm based in Chicago, IL, is partnering with our recruiting firm to hire a talented Mid-Level Associate for their expanding Technology Transactions team. This position offers the chance to work with various industries and clients on intricate commercial technology agreements, contributing to impactful projects within a collaborative environment that encourages professional growth and innovation.

Duties:

• Draft, review, and negotiate complex technology, intellectual property, and data-driven contracts.

• Support strategic outsourcing initiatives, including information technology and business process arrangements.

• Handle ERP licensing and implementation projects.

• Structure and negotiate software development, licensing, and master service agreements.

• Manage agreements involving "as a Service" (aaS) offerings.

• Assist with commercialization strategies for technology products and services.

• Advise on marketing, advertising agreements, and e-commerce transactions.

• Contribute to joint ventures and shared services agreements.

• Support M&A transactions from a technology and IP standpoint.

• Guide startups, venture-backed companies, and investors when needed.

Requirements:

• 3-5 years of hands-on experience in technology transactions at a reputable law firm.

• Strong expertise in technology, IP, and data privacy laws.

• Excellent drafting, negotiation, and communication skills.

• Ability to independently handle multiple projects with precision and organization.

• Proactive approach with keen attention to detail.

• Interest or background in emerging technologies such as artificial intelligence and quantum computing is a plus.

• Commitment to maintaining a partial in-office presence (minimum three days per week).

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to the Illinois Bar is required.

• Additional Bar admissions in Georgia, Texas, or Massachusetts are beneficial but not mandatory if located elsewhere.
