Job Overview:
A nationally recognized law firm is seeking mid-level Associates with 4–6 years of experience to join its Corporate Transactions practice group. The role will involve working on complex and high-value mergers and acquisitions, leveraged buyouts, and corporate finance transactions. This position is ideal for attorneys who thrive in a fast-paced, team-based environment and seek exposure to a broad range of sophisticated deal work with clients across industries.
Location:
Charlotte, NC
Duties:
Advise clients on a variety of transactional matters including mergers & acquisitions, private equity, and corporate governance
Draft and negotiate complex commercial agreements and deal documentation
Handle all aspects of deal execution, including structuring, diligence, negotiations, and closings
Coordinate with internal practice groups and external advisors (e.g., investment bankers, consultants)
Manage multiple client engagements simultaneously
Provide mentorship and guidance to junior associates when necessary
Requirements:
4–6 years of corporate transactional experience from a major law firm
Demonstrated experience with M&A, leveraged buyouts, and corporate governance
Strong attention to detail and analytical thinking
Ability to manage complex transactions and interact directly with clients and advisors
Excellent time management and project execution skills
Interest or experience in ESOP M&A is a plus
Education:
Juris Doctor (J.D.) from an accredited U.S. law school
Strong academic credentials
Certifications:
Active bar membership in the state of the office location or eligibility to waive in
Skills:
Strong drafting, negotiation, and communication skills
Ability to work both independently and collaboratively in a team-based practice
Familiarity with U.S. corporate and securities laws relevant to M&A and private equity
