A law firm in New York City is seeking a skilled Mid-level Capital Solutions and Special Situations Practice Associate Attorney with 3-5 years of experience in liability management transactions, secured and unsecured debt financing, special situations, distressed M&A, and debt restructuring. The ideal candidate will be admitted to practice in New York and possess excellent credentials.

Duties:

• Conduct legal research and analysis related to capital solutions and special situations.
• Draft and review legal documents, including but not limited to exchange and consent offers, backstop arrangements, rights offerings, and exit financings.
• Provide legal advice and counsel to clients on matters pertaining to liability management transactions and debt restructuring.
• Collaborate with other attorneys and professionals within the firm to develop comprehensive legal strategies for clients.
• Represent clients in negotiations and discussions related to capital solutions and special situations.

Requirements:

• 3-5 years of experience in liability management transactions, secured and unsecured debt financing, special situations, distressed M&A, and debt restructuring.
• Admitted to practice in the state of New York.
• Excellent academic credentials and a strong professional track record.
• Knowledge of relevant laws and regulations pertaining to capital solutions and special situations.

Education:

• Juris Doctor (J.D.) from an accredited law school.
• Admission to the New York State Bar.

Certifications:

• Admission to the New York State Bar.
