Director, Legal Counsel - Corporate Governance

The candidate will provide general corporate governance legal support related to overall management of domestic and international entities, including board and shareholder meetings, director and officer issues, corporate reporting and other entity management requirements pursuant to applicable laws. Oversee the preparation of required state and regulatory reporting related to subsidiaries including FR Y-6 and FR Y-10 filings. Assist in preparing and maintaining corporate governance documentation (i.e., meeting minutes, resolutions, secretary certificates, bylaws, charters, powers of attorney, delegations of authority, etc.) for board and board committee of the firm Corporation and subsidiaries. Advise directors and senior management on corporate governance trends and developments. Assist as required on review and analysis of Securities and Exchange (SEC) filings including proxy statements, Forms 10-K and 10-Q, Forms 8-K, and Section 16 reports. Advise and assist the company on compliance with state and federal corporate law, SEC rules and applicable stock exchange (NYSE) requirements. Coordinate with and supervise outside counsel, where counsel is retained. Should preferably have 5-10 years of legal experience in a law firm or public company dealing with corporate law matters. Securities disclosure experience is preferred. M&A and transactional experience is preferred.
