A leading law firm with a national footprint is currently seeking a highly qualified Corporate associate to join its Investment Services practice. This role offers the opportunity to work in a sophisticated and multidisciplinary team that serves a prestigious client base, including mutual funds, ETFs, investment advisers, and independent trustees. The firm supports an entrepreneurial mindset and offers direct engagement with clients, business development opportunities, and a strong commitment to career advancement.
Advise registered investment companies and investment advisers on federal securities laws, including:
Investment Company Act of 1940
Securities Act of 1933
Provide legal support related to regulatory and compliance issues
Lead or play a key role in transactions such as investment company reorganizations and mergers
Work with mutual funds, exchange-traded funds (ETFs), and closed-end funds
Counsel independent trustees and directors
Manage multiple client matters simultaneously with attention to deadlines and detail
Participate in client-facing initiatives and business development activities
4-7 years of experience with registered investment companies and investment advisers and with regulatory and compliance matters regarding federal securities laws, including the Investment Company Act of 1940 and the Securities Act of 1933;Significant exposure to investment company and adviser matters, including compliance and transactional work
Proven ability to take a leading or substantial supporting role in complex transactions
Experience with a wide range of fund structures and governance models
Strong organizational skills and ability to handle concurrent projects
Must be admitted and in good standing in the applicable U.S. jurisdiction (or taking steps toward admission)
U.S. work authorization required
Juris Doctor (J.D.) degree from an accredited law school
Strong academic credentials preferred
Active bar admission in one of the relevant U.S. jurisdictions, or eligibility for admission
Advanced knowledge of federal securities laws applicable to investment companies and advisers
Excellent legal research, writing, and communication skills
Ability to manage complex regulatory and transactional workstreams
Confidence in client interactions and presentations
Strong collaboration and teamwork capabilities
