Commercial Counsel
The candidate will provide support and guidance to the business in the review of contract documents, bids and proposals. Very high strategic impact to corporation or business unit. Responsible for managing critical contractual formation and management, obligations of high risk and visibility. Requires high degree of independent and creative judgment applied to highest-level goals and objectives of the corporation. Establishes highest-level contract strategy and drives implementation of strategic contract opportunities with the most significant impact to the corporation. Partners with Contract Management team on negotiations that involve counsel to counsel negotiations for opportunities. Has authority to counsel the Division General Managers on legal risks and negotiate and agree to terms with customers. Refers complex legal issues to Segment Counsel and will partner with Segment Counsel. Provides contractual domain expertise and trains the contract management team and the business (if appropriate) on such expertise (i.e. federal contracts,strategies for master agreements, supply and subcontracts for key vendors and suppliers). Develops and refines form contracts across the business unit to drive efficiency and standardization where appropriate and effective. Develops and refine procedures for lower dollar contracts to ensure greatest protection for company (i.e. battle of the forms process, pilot agreements, etc.). Mentors and train new contract managers and contract managers I and II. Leads trainings of the business and trains contract managers II and I on effective training techniques. Understands the business case and has an appreciation of financial/analytical issues and profit and loss implications. Must have significant ability to influence senior corporate management. Excellent presentation, team building and leadership skills. Ability to effect and manage change. Ability to perform in complex cross-functional business environment. Global perspective of business environment. JD degree is required. Must have Active Bar license. Should have 8+ years of successful experience in related field and successful demonstration of Key Responsibilities and Knowledge as presented above. Must have experience generally includes significant technical knowledge, and/or experience in drafting contracts, consortium contracts, international contracting, joint venture management, strategic partnering, or other highly complex contractual arrangements.
