Profile

A law firm in Washington, DC is seeking a Mid-to-Senior level Corporate Healthcare Transactional Associate Attorney with 4-6 years of experience in mergers and acquisitions and/or private equity in healthcare. The candidate will have the opportunity to advise dynamic and innovative healthcare clients in various strategic transactions, including mergers and acquisitions, asset and equity acquisition transactions, venture capital and private equity investments, and joint venture transactions. Additionally, they will assist clients with corporate and organizational workflow, including formations, capital raises, operational strategy, contract negotiations, and other day-to-day corporate matters.

Duties:

• Advise healthcare clients in all phases of transactional businesses, focusing primarily on strategic transactions such as mergers and acquisitions, asset and equity acquisition transactions, venture capital and private equity investments, and joint venture transactions.
• Assist clients with corporate and organizational workflow, including formations, capital raises, operational strategy, contract negotiations, and other day-to-day corporate matters.
• Conduct legal research and analysis on healthcare transactional issues.
• Draft, review, and negotiate transactional documents and agreements.
• Communicate directly with clients and third-party advisors regularly.
• Take ownership of projects and work effectively as a member of a team.

Requirements:

• Admission to the Bar in the District of Columbia.
• 4-6 years of experience in mergers and acquisitions and/or private equity in healthcare.
• Outstanding academic credentials from an accredited law school.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Admission to the Bar in the District of Columbia.

Skills:

• Excellent oral communication, writing, research, and analytical skills.
• Ability to take ownership of projects and work effectively as a member of a team.
• Strong negotiation and contract drafting skills.
• Knowledge of healthcare transactional law and regulations.
• Ability to communicate directly with clients and third-party advisors regularly.
