Job Overview

A law firm seeks a motivated corporate and transactional associate admitted to practice in Delaware. This position is based in Wilmington, DE. The ideal candidate will possess excellent writing and research skills and demonstrate a passion for assisting individuals and businesses. The ability to act as local counsel in Wilmington state and federal courts is highly desirable.

Duties

• Handle corporate and transactional matters, including mergers and acquisitions, entity formations, contract drafting and negotiation, and corporate governance.
• Manage Delaware entity formations, qualifications, and maintenance matters.
• Draft and review corporate documents, including operating agreements, bylaws, stockholder agreements, and board resolutions.
• Provide practical legal guidance on corporate compliance and governance matters.
• Assist out-of-state lawyers by navigating complex local court rules and procedures in Delaware courts.
• Conduct complex legal research and analysis.
• Manage day-to-day case activities and collaborate in case strategy discussions.
• Draft and review pleadings, memos, briefs, interrogatories, and other legal documents.
• Take and defend depositions.
• Communicate and work with local counsel.

Requirements

• Member of the Delaware bar.
• Minimum of two years of corporate transactional experience.
• Familiarity with local practices of state and federal courts in Wilmington.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Admitted to practice law in Delaware.

Skills

• Excellent legal writing and research abilities.
• Comfortable taking and defending depositions, appearing in court, and arguing motions.
• Proficient in drafting pleadings and managing deadlines.
