National Tax Office (NTO) Senior or Manager - Tax Controversy
The candidate will assist internal and external clients in connection with IRS, state, and local tax examinations. Serve as a technical tax resource on Mergers and Acquisitions (“M&A”) transactions conducted by clients and private equity. Review responses to inquiries, notices, and examination reports from the IRS and other tax authorities. Serve as a technical tax resource on Mergers and Acquisitions (“M&A”) transactions conducted by clients and private equity. Conduct tax structuring services for buy and sell-side transactions, including determining the most optimal structure, preparation of summaries of structures, tax modeling of after-tax proceeds and incremental taxes, and review of purchase agreements. Conduct tax due diligence, including review of target tax returns, tax inquiries, and preparation of written tax diligence reports. Prepare ancillary transaction services, such as transaction costs, analysis of tax attributes, and Section 1202 studies. Assist engagement teams with reporting the tax aspects of transactions. Conduct tax research on transactional issues and monitor current developments for emerging tax issues. Participate in tax webinars and author tax alerts on transactional matters. Work to develop relationships with clients, including involvement in networking and business development activities. Should have a Bachelor’s Degree in Accounting. CPA or Bar License required. Should have 4+ years of experience in a Tax Controversy-related position, including experience in a CPA or law firm, or with the IRS as a revenue agent or supervisory capacity within an IRS Service Center (preferred experience).
