Duties:
Conduct and manage due diligence in connection with mergers, acquisitions, and divestitures
Draft and negotiate purchase agreements, ancillary transaction documents, and closing deliverables
Coordinate all aspects of transaction closings, including logistics and execution
Advise clients on post-deal integration and ongoing business matters
Draft corporate governance documents for a variety of entity structures
Provide advice on corporate governance best practices and risk mitigation
Negotiate and draft complex commercial contracts across various industries
Interact directly with clients, providing strategic legal counsel on corporate matters
Requirements:
Minimum of 2 years of transactional experience in mergers and acquisitions
Prior experience in a law firm or as in-house counsel preferred
Demonstrated ability to manage transactions and work independently or collaboratively
Strong understanding of corporate structures and business operations
Willingness to work directly with clients and provide proactive legal solutions
Education:
Juris Doctor (J.D.) from an accredited law school
Strong academic background preferred
Certifications:
Active bar membership in any U.S. jurisdiction
Eligibility to obtain admission in Nebraska if not currently admitted
Skills:
Proficiency in drafting transactional and governance documents
Excellent legal research and analytical skills
Strong written and verbal communication abilities
Detail-oriented with solid organizational and time management skills
