Job Title: Partner-Level Attorney - Income Principal

Job Overview:
A well-established law firm in Portland, OR, is seeking a highly experienced Franchise Attorney to join as an Income Principal. This role focuses on advising a wide range of business clients on complex franchise law matters across various industries. The selected attorney will collaborate with colleagues across multiple offices and contribute to a robust, supportive, and diversity-driven environment. The position requires extensive experience in franchise disclosure documents, agreements, compliance, dispute resolution, and advising on regulatory matters. Candidates with a portable book of business are strongly encouraged to apply.

Duties:

  • Advise franchisors, franchisees, manufacturers, and distributors on franchise-related legal issues.

  • Draft, review, and negotiate Franchise Agreements and related documentation.

  • Prepare and register franchise disclosure documents in compliance with applicable laws.

  • Navigate franchise compliance issues, offering counsel on regulatory obligations.

  • Manage franchise relationship matters, including terminations and renewals.

  • Handle responses to governmental inquiries and enforcement actions.

  • Engage in strategic planning with clients regarding franchise operations and expansion.

  • Collaborate with attorneys across practice areas and offices for holistic client service.

  • Participate in pro bono and diversity-related initiatives, receiving billable credit for contributions.

Requirements:

  • Minimum of 7 years of substantive experience in franchise law.

  • Demonstrated ability to represent both franchisors and franchisees.

  • Proven experience drafting offering documentation and managing franchise registrations.

  • Skilled in addressing compliance, regulatory challenges, and governmental investigations.

  • Strong academic credentials and analytical abilities.

  • Exceptional communication, interpersonal, and client service skills.

  • Ability to manage multiple projects with excellent attention to detail.

  • A portable book of business (full or partial) is required.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

  • Admission to practice law in at least one U.S. jurisdiction.

Certifications:

  • Active and good standing membership in the state bar of the jurisdiction where the candidate practices.

Skills:

  • Deep expertise in franchise and distribution law.

  • Strong legal research, drafting, and negotiation skills.

  • Ability to work independently as well as collaboratively with a team.

  • Strong organizational and project management abilities.

  • Professional responsiveness and client-focused approach.
