Senior Corporate Counsel, Commercial & Transactions
The candidate will advice and counsel business partners on legal issues related to transactional matters involving the purchase and sale of goods and services; sourcing of direct and indirect commodities/supplies; and establishment of a variety of collaborative relationships in the support of the Company's short and long term vision. Provide primary support for Sales and Purchasing functions in review, drafting and negotiation on a wide-variety of transactional documents, including documents regularly encountered in support of manufacturing supply chain transactions and complex sales relationships in the automotive industry. Support review, drafting and negotiation of other routine transactions as needed. Manage legal requirements to satisfy the North America contract review process as well the contract review process for foreign parent company. Provide advice and counsel on various regulatory matters typically encountered by large manufacturer in automotive industry, including OSHA, NHTSA, FMVSS, Import/Export and Environmental. Develop and deliver contract and regulatory training to business partners and other stakeholders. Maintain current understanding of industry or functional trends in area of responsibility and builds on them to generate creative and innovative solutions. Travel to domestic locations. Performs other duties as assigned by the General Counsel. Juris Doctorate from accredited law school required. Admitted to a US state bar in good standing. Strong academic background. Minimum of 7-10 years working commercial/transactional attorney required. Significant experience working on sophisticated commercial matters including reviewing, drafting and negotiating various agreements. Significant experience providing advice and counsel to leaders on how to mitigate risk in fast paced environment. Experience advising clients in regulatory matters involving import/export, NHTSA, FMVSS, Data Privacy, OSHA or Environmental preferred. Experience working in the automotive industry preferred. Significant corporate legal in-house experience preferred. Significant experience working in or for a Japanese company preferred.
