DUTIES: Stock plan administration, including oversight of external stock plan service provider; track common stock usage under equity plans; equity compensation and deferred compensation plan administration; facilitate annual equity grants to Board of Directors; track equity plan forfeitures and shares contributed back to equity plan; enhance global stock plan administration practices and procedures; facilitate preparation and review of Form S-8 and Form S-8 POS filings; and facilitate review of form documents for grants to domestic or international equity award recipients. All aspects of executive officer and Board of Director stock transactions, including preparing preliminary drafts of trading window communications; preparing and filing Section 16 forms and Forms 144; coordinating with various financial advisors; preparation and delivery for Board of Director Form 1099s; and tracking stock ownership. Accurate reporting of TTC’s common stock; assist shareholders with cost basis inquiries; maintain shareholder records; and preparation and review of shareholder communications. Facilitate the selection and execution of dividend payable, trading window and record dates. Prepare annual director and officer questionnaires and preparing drafts of the proxy statement for review. Serve as the primary contact and liaison between shareholders and the transfer agent to ensure accurate common stock, reserves and treasury stock balances. Facilitate the planning and execution of the annual shareholder meeting. Serve as the primary contact and liaison between shareholders and the transfer agent to ensure accurate common stock, reserves and treasury stock balances. Support defined contribution plan administration, including support for the internal Management Investment Committee and drafting of minutes, resolutions and other documents as needed for defined contribution plans. Responsible for dividend process and reporting.
