Job Overview

A law firm seeks an experienced Mergers & Acquisitions Associate to join its transactional practice. This remote position, based in the United States, involves working on sophisticated lower middle market transactions, representing buyers, sellers, independent sponsors, and emerging private equity fund managers.

Duties

• Draft definitive documents for M&A transactions
• Handle entity formation and structuring
• Conduct due diligence and prepare ancillary documents and disclosure schedules for M&A
• Advise on general corporate matters
• Provide guidance to independent sponsors
• Manage securities matters related to private offerings and fund formation

Requirements

• At least 3 years of transactional M&A experience
• Experience at a BigLaw or respected regional law firm strongly preferred
• Excellent drafting, negotiation, and issue-spotting skills
• Strong academic credentials
• Ability to manage deals with increasing independence
• Experience with securities offerings, private funds, or investment adviser matters is a plus

Education

• Juris Doctor (JD) degree

Certifications

• Licensed to practice law in the United States
