Job Overview:
An internationally respected law firm is seeking a Senior Associate or Of Counsel attorney with a minimum of seven years of experience in executive compensation, employee benefits, and ERISA matters. The ideal candidate will bring substantial transactional experience, including work on M&A, private equity, and restructuring deals, with a focus on executive compensation planning, regulatory compliance, and disclosure. This position offers the opportunity to work on sophisticated transactions and complex regulatory matters for high-profile corporate clients.

Duties:
Advise clients on executive compensation and employee benefits issues in corporate transactions, including mergers, acquisitions, restructurings, and private equity deals
Conduct due diligence and review, analyze, and negotiate compensation- and benefits-related provisions in transaction documents
Advise on golden parachute (IRC § 280G) issues and prepare related analyses
Draft and review employment agreements, severance agreements, incentive compensation plans, and equity award documentation
Provide guidance on SEC compensation disclosure requirements for public companies
Advise on the administration and compliance of tax-qualified retirement and welfare benefit plans
Handle general employment matters related to compensation and benefits in transactional contexts
Collaborate closely with multidisciplinary deal teams to deliver integrated client service
Requirements:
Minimum of 7 years of relevant legal experience in executive compensation, ERISA, and employee benefits law
Demonstrated experience advising on M&A, private equity, and restructuring transactions
Familiarity with public company compensation disclosure and SEC compliance
Ability to handle multiple, complex matters in a high-paced transactional environment
Experience in working with both private and publicly traded companies
Education:
Juris Doctor (JD) from an accredited U.S. law school
Strong academic record required
Certifications:
Admission to practice and in good standing in New York
Skills:
Advanced legal drafting and analytical skills
Excellent written and verbal communication
Strong understanding of the Internal Revenue Code, ERISA, and securities laws as they pertain to compensation and benefits
Proven ability to lead and coordinate complex transactional matters
High level of professionalism, strategic thinking, and client service orientation
