This role involves representing lenders in commercial finance transactions, particularly in the technology, life sciences, and middle-market sectors. The ideal candidate will bring expertise in structuring and negotiating loan agreements, as well as managing complex financing transactions.

Duties

• Represent banks and private credit funds in financing transactions.

• Structure, negotiate, and document loan agreements and related financing documents.

• Advise clients on legal and regulatory considerations in lending transactions.

• Conduct due diligence and risk analysis for commercial loans.

• Collaborate with cross-functional teams to support complex financial deals.

• Ensure compliance with federal and state lending laws.

• Provide strategic guidance to clients on financing structures and market trends.

Requirements

• Minimum of 4 years of commercial finance experience, focusing on lender-side representation.

• Strong background in handling transactions for technology, life sciences, and middle-market companies.

• Experience in an AmLaw 100 firm or equivalent is highly preferred.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Admitted to practice law in California.
