A nationally recognized law firm is seeking a Senior Associate to join its Corporate and Private Equity practice. This is a compelling opportunity for a lateral hire with extensive experience in private equity transactions, fund structuring, and client representation across diverse investment vehicles. Location

Duties

• Lead and manage private equity transactions involving:

  • Leveraged buyouts

  • Independent sponsor deals

  • Minority and junior capital investments

  • Roll-up strategies

  • "Going private" transactions

  • Acquisitions of distressed businesses in and out of bankruptcy

• Advise general partners, emerging managers, and institutional investors on:

  • Fund structuring and formation

  • Private equity, growth equity, venture capital, mezzanine, and real estate fund vehicles

• Serve as lead associate on deal execution, including drafting and negotiating key transaction documents

• Handle client relationships with autonomy and professionalism

• Collaborate with a large, nationally integrated legal team

Requirements

• 5–7 years of relevant experience in private equity acquisitions and transactional work

• Demonstrated ability to independently manage deal flow and lead closings

• Strong background in fund representation and investment structuring

• Must be licensed and in good standing with the Texas State Bar

• Prior experience at a nationally recognized law firm or equivalent setting preferred

Education

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

• Active license to practice law in Texas
