M&A: Associate Attorney (Private Equity, M&A)

The candidate will be working under moderate supervision of partners, represent public and private companies, private equity firms and their portfolio companies, sovereign wealth funds, and other strategic and financial investors in connection with international and domestic corporate transactions, including acquisitions, divestitures, leveraged buy-outs, strategic mergers, co-investments, minority investments, joint ventures and other transactions. Draft, negotiate and review transaction documents for a range of clients, including private equity firms. Perform buy-side legal due diligence in connection with spin-offs, divestitures and buyout transactions. Analyze corporate governance issues, including in connection with hostile activity. Assist clients with capital raising activities, including initial public offerings, secondary offerings, and other royalty arrangements. Candidates must have a JD and two (2) years of experience as an attorney in corporate transactions within mergers & acquisitions, and must be admitted to practice law in New York. Must have work experience in each of the following: 1) Drafting, negotiating and reviewing transaction documents for a range of clients, including private equity firms; 2) Performing buyside legal due diligence in connection with spin-offs, divestitures and buyout transactions; 3) Analyzing corporate governance issues, including in connection with hostile activity; and 4) Assisting clients with capital raising activities, including initial public offerings, secondary offerings, and other royalty arrangements.
