The candidate should have 3-6 years of legal experience with private funds work. Associates will be expected to work on a variety of matters related to private funds. Associates in this role will represent fund sponsors in connection with drafting and negotiating documents in connection with the formation of investment funds and compliance matters. Additional responsibilities include advising on corporate governance matters such as structuring, operations of the client’s funds and management companies, succession planning, carried interest arrangements, employee investment programs, marketing arrangements and limited partner transfers. Associates may also represent institutional investors in connection with primary and secondary investments in private funds. Qualified candidates would preferably have 3-6 years of legal experience working on private investment funds, including spending a substantial amount of such period at a law firm. Candidates must have proven abilities to draft and negotiate documents in connection with the formation of private investment funds. Experience in the following areas is a plus: (1) advising fund sponsors on compliance and regulatory issues; (2) assisting fund sponsors or investors in secondary transactions; and (3) being familiar with a wide range of alternative investment strategies. Candidates should also have excellent verbal and written communication skills, interpersonal and client service skills and the ability to function well in a high-paced and, at times, stressful environment. Flexibility to work independently and as part of a team will also be important. J.D. degree from an accredited law school or equivalent is required.
