Commercial Finance Attorney
The candidate will provide transactional legal support to various Commercial Finance business units, including documenting, negotiating and/or reviewing bilateral and syndicated loan agreements and related loan and collateral documentation, including commitment and proposal letters, term sheets, guarantees, security agreements and inter-creditor agreements. Assist with the structuring of new loan transactions, including performing and advising on legal due diligence. Assist with loan participation and portfolio acquisitions. Endeavor to provide legal support to Commercial Finance without significant reliance on outside counsel, in the case of smaller-ticket transactions, and if outside counsel is used, manage outside counsel to provide quality and cost-effective representation. Respond to day-to-day issues arising within Commercial Finance and provide guidance and recommendations for problem resolution in a manner that appropriately balances legal risk and business needs.
