Job Overview

A highly regarded law firm is seeking a Corporate Associate with 4–6 years of experience focusing on public companies and capital markets. This role involves working closely with innovative and high-growth clients, particularly in the technology and life sciences sectors, advising on complex governance and compliance matters as well as capital market transactions. The ideal candidate will bring hands-on experience with public company reporting and securities compliance and will have supported clients through IPOs, equity and debt offerings, and other key financing events.

Duties

• Advise public company clients on SEC reporting and compliance matters

• Counsel clients on governance issues and Nasdaq/NYSE requirements

• Represent issuers and investment banks in capital markets transactions, including:

  • Initial Public Offerings (IPOs)

  • Equity and debt offerings

  • PIPE transactions (Private Investment in Public Equity)

  • At-the-market (ATM) offerings

• Collaborate with cross-functional legal teams on corporate and securities law matters

• Serve clients in the technology and life sciences industries (preferred but not required)

Requirements

• 4–6 years of corporate law experience with a focus on public companies and capital markets

• Demonstrated experience with SEC filings, governance, and disclosure matters

• Capital markets experience representing either issuers or underwriters

• Background in high-growth or regulated sectors such as tech or life sciences is a plus

• Ability to manage multiple complex matters and interact with clients directly

Education

• Juris Doctor (JD) from an accredited law school

Certifications

• Active Bar admission in the state corresponding to the selected office or ability to become admitted

Skills

• Deep knowledge of U.S. securities laws and public company governance

• Excellent legal research, writing, and analytical skills

• Ability to manage deal processes efficiently and accurately

• Strong communication and client relationship-building skills

• High attention to detail and professional judgment

• Capacity to work collaboratively with a team and independently when required
