This role involves representing both public and privately owned companies in various business matters, including mergers and acquisitions, commercial contract issues, and corporate governance counsel.

Duties

• Perform due diligence review and manage disclosure schedules.
• Prepare documents for closing M&A transactions.
• Review, draft, and negotiate principal and ancillary agreements.
• Engage in a variety of M&A, corporate, and commercial projects.
• Provide pragmatic counsel with significant client contact.

Requirements

• 1-3 years of corporate transactional experience, including M&A.
• Strong business background and ability to grasp business concepts quickly.
• Excellent written and verbal communication skills.
• Willingness to ask questions and learn.
• Desire to work in a team-oriented environment.
• Regular office attendance required.

Education

• Law degree

Certifications

• Eligibility for North Carolina Bar admission preferred.
