Job Overview
A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for its Denver, CO office. The candidate will provide legal guidance on corporate and transactional matters.

Duties

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents, including term sheets and convertible notes.
• Provide legal guidance on corporate governance, including board and shareholder issues.
• Support clients in mergers and acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• JD from an ABA-accredited law school.
• Licensed or eligible to become licensed to practice law in Colorado.
• Reside in the Denver area by the time of hire.
• Work in the office at least three business days per week.

Education

• Juris Doctor (JD) from an ABA-accredited law school.

Certifications

• Licensed to practice law in Colorado or eligibility to obtain licensure.
