Job Overview:
Stinson LLP is seeking a Corporate Associate Attorney with 4 to 6 years of experience to join its Corporate Finance Division in Denver, Colorado. The position focuses on sophisticated corporate transactions, including mergers and acquisitions, private equity, capital markets, venture capital, securities compliance, and investment management matters, serving national clients in a collaborative, fast-paced transactional practice.

Duties:

• Represent clients in mergers and acquisitions and other strategic corporate transactions
• Advise clients on private equity investments, leveraged buyout transactions, and related matters
• Assist with capital markets transactions and securities offerings
• Support venture capital and early-stage financing transactions for issuers and investors
• Advise on fund formation, governance, investments, and exit transactions
• Handle structured finance and investment management matters
• Counsel broker-dealers and investment advisers on regulatory and transactional issues
• Advise clients on corporate governance matters
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements, as applicable
• Draft, review, and negotiate transactional documents
• Collaborate with attorneys and clients on complex corporate finance matters

Requirements:

• 4 to 6 years of corporate transactional law experience
• Experience leading, managing, or substantially contributing to mergers and acquisitions transactions
• Experience with private equity investments, leveraged buyouts, or capital markets transactions
• Strong analytical, writing, organizational, leadership, and communication skills
• Experience with venture capital transactions, corporate governance, securities offerings, or SEC reporting is preferred but not required
• Ability to work collaboratively on sophisticated, fast-paced transactions for national clients

Education and Certifications:

• Juris Doctor (J.D.) from an accredited law school
• Active Colorado Bar admission or eligibility for admission without examination in Colorado
