Associate General Counsel
The candidate will be involved in the daily operations of Total Wine’s business and, with the assistance of outside counsel, will assist with corporate governance, licensure, compliance, preservation of intellectual property, employment law matters, and various litigation matters in the courts; will work closely with the Company’s General Counsel and other staff to learn about the alcohol business, including the Company’s interaction with all state agencies in 27 states; will report to the SVP, and General Counsel and work at our Bethesda, Maryland headquarters. Ensure compliance with all federal, state, and local laws and regulations governing the Company’s business operations in 27 different states. Work closely with the General Counsel, Government Affairs team, and state agencies and legislatures. Keep abreast of all regulatory changes in the alcoholic beverage industry. Supervise and manage outside law firms. Advise the Company’s executive team, Board of Directors, and team members regarding changes in policies and practices within the industry and the Company. Provide business unit leaders (Government Affairs, Human Resources, Store Operations, Finance, Marketing, Store Development, and others) advice and counsel regarding legal requirements, best practices, and strategies to advance the Company’s goals. Interpret laws, rulings, and regulations for the Company. Prepare and review contracts and advise on real estate transactional matters. Negotiate complex vendor agreements. Should have a JD degree from a top-tier law school with strong academic performance; active and in good standing with bar admission in Maryland, D.C., or Virginia; 3+ years experience working as a lawyer in a private law firm or comparable legal position in Government, or as in-house counsel in a corporate legal department; prior legal experience in the alcoholic beverage industry is helpful but not required. Superior written and oral communication skills are critical; strong legal reasoning, research, and writing skills; proficient computer skills, including proficiency in Microsoft Office Suite (e.g., Word, Excel, MS Office, etc.). Some travel may be required.
