RESPONSIBILITIES: Work on various general corporate and public company/SEC matters. Prepare, review, and file proxy statements, reports (including 8-Ks, 10-Qs, 10-Ks, and Section 16 reports) and registration statements with the SEC. Analysis and preparation of Board and Board Committee materials. Work on our M&A activities, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing matters. Assist with annual reporting and entity maintenance for our various subsidiaries. Review and negotiate various contracts, including confidentiality agreements, employment agreements, leases, and vendor contracts. Advise management at all levels with respect to various legal matters. Serve as a strategic legal partner and advisor to the business teams. Coordinate and work on various corporate projects as determined by senior legal leadership.
