Director and Senior Counsel
The candidate will be trusted business partner to advise NWM on providing its services in an efficient and practical yet well-controlled and compliant manner. Track developments in regulations (new or changes to existing) and advise NWM on its impact to its business. Participate in industry association working groups (SIFMA, ISDA, etc.). Participate or lead, as appropriate, on internal working groups to support on-going compliance with regulations. Interact with regulators, in particular, CFTC and NFA. Maintain the documentation and implementation of various policies and procedures, especially as they relate to uncleared swap margin, external business conduct, swap trading relationship documentation, and product classifications, from the perspective of a non-US Swaps Dealer. Provide advice and support to other NW Group entities, especially activity affecting cross-border. Collaborate closely with U.S. Compliance officers and Legal counterparts in London, and to a lesser extent APAC, on the impact of non-US regulations on the U.S. business, onboarding, pricing, and other support functions to ensure global consistency and best practices. Provide advice on new products and services to US-based customers on the impact, if any, of Dodd-Frank regulations. Design practical and effective solutions as appropriate. Support transactions involving complex products and/or complex negotiations. Manage and provide legal support to a team of US-based senior negotiators across a variety of master trading agreements (e.g., ISDA/CSA, MRA/GMRA, CDEAs, FX prime brokerage agreements) and ancillary documentation for different counterparty types (e.g., corporates, hedge funds, separately managed accounts, private funds). Participate in industry association working groups (SIFMA, ISDA, etc.) to monitor the development of industry-standard documentation and if applicable or appropriate, implement developments to practice. Collaborate closely with Legal counterparts in London and APAC on changes to existing documentation templates and terms to ensure global consistency and best practices.
