Job Overview

A law firm seeks an Associate with 3 to 4 years of securities and capital markets experience to join its Corporate Practice Group in Washington, D.C. The position offers opportunities to work on complex corporate transactions and provide counsel on securities law matters.

Duties

• Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Represent issuers and underwriters in equity and debt offerings.
• Counsel public companies on disclosure obligations and corporate governance.
• Advise boards of directors and management on governance and disclosure issues.
• Support public company transactions, including mergers and acquisitions.

Requirements

• 3 to 4 years of securities and capital markets experience.
• Strong drafting, analytical, and communication skills.
• Ability to manage multiple transactions in a fast-paced environment.

Education

• Juris Doctor degree from an ABA-accredited law school.

Certifications

• Bar admission or eligibility to obtain admission promptly in the jurisdiction of resident office location.

Skills

• Experience with Exchange Act filings and SEC reporting.
• Knowledge of corporate governance and disclosure obligations.
• Experience with mergers, acquisitions, and complex corporate transactions.
