Job Description - Senior Legal Counsel Midstream
The Legal Services Downstream US pipeline team comprises a team of dedicated commercial and regulatory lawyers based in Houston. We are looking for a lawyer to join this team in Houston in support of Shell’s US midstream business with a particular focus on supporting the regulatory and transactional needs of Shell’s Downstream business, Shell Midstream Partners, L.P. (SHLX).
The US midstream business is regarded as a key area of growth and cash generation in Shell’s Downstream business. Shell Midstream Partners, L.P. (SHLX), Shell’s midstream master limited partnership, is considered an important platform for this growth. Since its initial public offering in 2014, SHLX has provided top tier distribution growth through acquisitions from its Shell affiliates and its own operations. The Legal Services Downstream US organization provides legal advice, support, and related services to Shell’s US midstream business, which operates Shell’s US pipeline business and the MLP.
We need a senior Legal Counsel to provide first-class, timely and cost-effective legal support to the Downstream pipeline business and to SHLX, often working to tight project deadlines. We also need first-class, practical legal support for SHLX’s capital markets offerings and compliance, and the coordination of this work with the Royal Dutch Shell capital markets team to ensure consistency and the highest quality of advice.
You will need to assist the SHLX general counsel and CSO in managing the governance of SHLX, including working with the SHLX board of directors.
You will need to work with multiple functions in other Shell businesses to capture growth opportunities for SHLX through dropdowns from non-pipeline Shell businesses. This will require cost management and control of the legal aspects of SHLX’s capital markets work and M&A projects, which may involve very significant budgets. If necessary you will need to manage cost-effective external counsel.
As SHLX continues to grow, the role will require the ability to connect across different Shell business lines and to understand the drivers that will contribute towards the execution of the SHLX business strategy.
You will be part of the multi-disciplinary project team, to ensure that legal risks and other issues are identified, explained and understood by the project lead, and addressed within acceptable legal and risk frameworks. We would like you to coach and mentor more junior lawyers and support staff, with special emphasis on developing lawyers experience in the US capital markets practice.

Requirements:
We need you to have:
A law degree
Sound experience in providing securities law advice and leading compliance programs from periodic reporting to insider trading
Managing SEC/securities compliance and reporting, including preparation and review of periodic and current reports, analysis of SEC guidance, and exchange regulations – experience in MLP space a plus
Experience in Delaware companies law governance, including working with Board of Directors or other governing bodies
Experience in Limited Liability Company (LLC)
Sound legal experience in M&A law and practice
Membership in Texas State Bar, or ability to become qualified before the bar within one year of hiring date
Strong analytical skills coupled with the ability to communicate complex legal issues and opinions in a way understandable to the non-legal professional
Ability to work effectively across businesses and functions to craft pragmatic, actionable advice, with excellent verbal and written communication skills
Ability to lead large, multi-functional teams as well as contribute as a legal resource on business-led teams
Understand financial information, including the understanding of GAAP financial statements and basics of accounting
Excellent legal drafting skills
Ability to develop and sustain relationships with clients and directors (internal and external) at all levels
Problem-solving and decision-making skills - an ability to find creative solutions to legal and commercial issues, but within acceptable legal and risk frameworks
Sound judgment in sensitive areas and on difficult issues
Experience of being a great team player
