A nationally recognized law firm is seeking a Senior Associate to join its growing Investment Funds Section in the Dallas office. This role is ideal for an attorney with significant experience advising fund sponsors and institutional investors on fund formation, compliance, and regulatory matters. Location

Duties

• Advise clients on the formation and structuring of private investment funds, including private equity, venture capital, real estate, and hedge funds

• Draft and negotiate fund documents, offering materials, partnership agreements, and subscription documents

• Counsel fund sponsors on regulatory compliance and operational matters

• Represent institutional investors in connection with fund investments

• Handle matters related to Investment Advisers Act and other applicable securities regulations

• Work closely with partners on strategic fund structuring and governance issues

• Support business development initiatives and contribute to client relationship management

• Collaborate across departments including tax, securities, and corporate groups on related matters

Requirements

• 5 years of experience practicing in fund formation and related regulatory work

• Demonstrated experience with private fund structuring, compliance, and investor relations

• Excellent drafting, negotiation, and analytical skills

• Ability to manage complex projects and multiple client demands efficiently

• Commitment to collaborative team culture and client service excellence

Education

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

• Active membership in the Texas Bar (or eligibility to waive in)

Skills

• Deep understanding of securities laws, including the Investment Company Act and Investment Advisers Act

• Exceptional attention to detail and organizational skills

• Strong interpersonal and communication abilities

• Experience advising fund sponsors and institutional investors
